Chegg College Crew Terms & Conditions

These terms and conditions are an agreement between you and the Chegg, Inc., a Delaware corporation with an address of 2350 Mission Blvd., Suite 1400, Santa Clara CA 95054. This agreement includes a Code of Conduct and program terms which collectively govern your participation in the Chegg College Crew program.

Chegg College Crew Promotional Offer (“Offer”)

1. Registration

Chegg allows you to register online for the Program and have the potential to earn money by promoting certain Chegg products and services, as well as certain products and services from College Crew partner companies, using approved promotional methods in accordance with this Agreement.

  1. Registration. To participate in the Program, you must submit a complete application using the online registration tools. You may not submit an application, if you or your Chegg account or Chegg College Crew account has been terminated at an earlier point in time. You are not allowed to register, use or control more than one Chegg College Crew account, unless you have prior written approval from Chegg. You must be 18 years of age or older, and a resident of the 50 United States or District of Columbia, to participate.
  2. Accurate Information. You agree to provide Chegg with complete and accurate information about you (including your payment and tax information) and if requested your Promotional Methods, and to maintain up-to-date account information. Chegg has the right to confirm or otherwise verify or check, in its sole discretion, the truth and accuracy of any registration information at any time, and void any account without payment if Chegg finds that such information is false, or that you are using, registering or controlling multiple accounts.
  3. Account Security. You will be responsible for all activity on your account and for loss, theft or unauthorized disclosure of your password (other than through Chegg’s gross negligence or willful misconduct or omission). You shall provide us with prompt written notification of any known or suspected unauthorized use of your account or breach of the security of your account.
  4. Your Relationship with Chegg. Nothing in this agreement establishes an employment relationship – Chegg College Crew members are not employees of Chegg and you may not in any manner misrepresent or embellish your relationship with Chegg. You work independently as much or as little as you wish, on your own schedule, using your own computer or other tools, and paying your own expenses. Any help or suggestions that you may receive from Chegg or others are simply suggestions, as Chegg in no way controls or directs your activities.

2. Terms

  1. Promotion opportunities: From time to time, College Crew members may be presented with offers from Chegg or Chegg partner companies to earn or win money, products or services. In each case where the opportunity is offered, College Crew members will be provided with the terms of the specific offer, which together with these terms and conditions will govern that opportunity.
  2. Payment schedule. Where applicable, payments will be on a net (30) day cycle following applicable qualifying event, unless otherwise set out in the terms of the specific promotion. Payments may be delivered via mail approximately 4 - 6 weeks thereafter. Members are responsible for ensuring that their mailing address in our records is up to date and accurate. Return of any payment as undeliverable or incomplete or incorrect email or mailing address submission will result in forfeiture of the bonus. Chegg may change the timing and mechanics of its payment schedule at any time by providing notice to members of the change.
  3. Prohibited Methods. This Program is designed to compensate you for good faith efforts to market Chegg and its partners programs and services to other legitimate customers. You will not be compensated for transactions where you or your agent are the customer, or where you engaged in activity that is in breach of this agreement. You agree that you will not engage in tactics or receive compensation for efforts to game the system, smurf transactions (breaking large transactions into smaller individual transactions, intentionally engaging in a large number of small transactions, or encouraging such behavior), create multiple accounts or do business with customers who engage in multiple accounts or identities, or collude with others to, in any way, obtain payments inconsistent with the purpose of any program.
  4. Program Amendments. You may, at any time, end your participation in the program by giving Chegg notice of your withdrawal from the program. Chegg may cancel any members’ participation at any time for lack of activity or any other reason. Chegg may amend, suspend or cancel this Program at any time by announcement on this Site and emailing active members.
  5. Taxes. By law, Chegg College Crew members earning over $600 per year are required to complete and submit a 1099 Form to Chegg, and Chegg is required to file a W-9 form with the Internal Revenue Service for these Members. By participating in this Program, members agree that they are responsible for complying with this law, and if it appears that their earnings will exceed $600 in a single year, they will fill out and fax the 1099 form to Chegg LINK TO FORM,. Chegg may withhold payments to members whose annual earning exceed $600 until such paperwork has been completed and filed with Chegg.
  6. Miscellaneous. By participating, Chegg College Crew members agree to the terms of Chegg Inc.’s Privacy Policy at http://www.chegg.com/privacypolicy & as applicable, & further agree that: 1) Chegg shall have no liability & will be held harmless by for any claim, action, liability, loss, injury or damage to Chegg College Crew members or any other person or entity, including, without limitation, personal injury or death to Chegg College Crew members or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of participation in this Offer. Further, Chegg is not responsible for any error, omission, interruption, defect or delay in transmission, order processing, or communication; telephonic, human or computer failures, problems or errors; technical or mechanical malfunctions; failures or malfunctions of phones, phone lines, telephone systems, or other equipment; errors in Terms & Conditions, in any Offer-related materials; human-processing error; failures of electronic equipment, computer hardware or software; or inaccurate information, whether caused by equipment, Offer programming, human error, or otherwise. All federal, state & local taxes, if any, are the sole responsibility of recipient. May not be combined with any other offer, discount or coupon.

3. Your Conduct

In your efforts to promote Chegg or its partners to potential customers, your activities are governed by a number of state and federal laws designed to protect consumers, as well as terms and conditions of other websites that may govern your conduct on those sites. You are expected to be familiar with these laws, and abide by them. Your conduct may also be rules published by your school limiting commercial marketing activity that can be on campus; you should respect those rules. Further, Chegg has created a series of guidelines to encourage responsible and ethical marketing behavior among College Crew members; you are required to abide by this Code of Conduct as well. Where Chegg becomes aware that a member is engaged in activity that may violate the Code of Conduct or any applicable state or federal law, school rules, or the terms of use of any website that the member has used to promote Chegg, Chegg will review the facts and circumstances of the violation and may, in its sole discretion, warn or suspend the member from the Program.

4. Release

If you have a dispute with a customer, other Chegg College Crew members, schools or other venues, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

5. Privacy

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your information only as described in the Chegg College Crew Privacy Policy. We view protection of members' privacy as a very important community principle. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. You can access and modify the information you provide us and choose not to receive certain communications by signing-in to your account. If you object to your information being transferred or used in this way please do not participate in this Program.

6. Indemnity

You will indemnify and hold us (and our officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.

7. No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

8. Notices

Except as explicitly stated otherwise, legal notices shall be served on Chegg at our headquarters in Santa Clara, CA, or to the email address you provide to Chegg during the registration process (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to the address provided during the registration process. In such case, notice shall be deemed given three days after the date of mailing.

9. Legal Disputes

If a dispute arises between you and Chegg, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and Chegg agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution by going through the contact section of the Chegg College Crew website. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

  1. Law and Forum for Legal Disputes. This Agreement shall be governed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against Chegg must be resolved exclusively by a state or federal court located in Santa Clara County, California, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You agree to submit to the personal jurisdiction of the courts located within Santa Clara County, California for the purpose of litigating all such claims or disputes.
  2. Arbitration Option. For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
  3. Improperly Filed Claims. All claims you bring against Chegg must be resolved in accordance with this Legal Disputes Section. All claims filed or brought contrary to the Legal Disputes Section shall be considered improperly filed. Should you file a claim contrary to the Legal Disputes Section, Chegg may recover attorneys' fees and costs up to $1000, provided that Chegg has notified you in writing of the improperly filed claim, and you have failed to promptly withdraw the claim.

10. General

Chegg is located at 2350 Mission College Blvd, Suite 1400, Santa Clara, CA 95054. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. In our sole discretion, we may assign this Agreement in accordance with the Notices Section. Headings are for reference purposes only and do not limit the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this Agreement.

We may amend this Agreement at any time by posting the amended terms on this site. Except as stated elsewhere, all amended terms shall automatically be effective 30 days after they are initially posted. Additionally, we will notify you through your registered email address.

This Agreement sets forth the entire understanding and agreement between us with respect to the Program.
